Restaurant Law

The restaurant industry is very unique: there are lots of different areas of law that come into play.  From opening a new restaurant to setting up the appropriate structure to expand to other locations — I’ll hold you hand along the way. I’ll help you choose the best structure for your business, negotiate and re-negotiate your leases, create your employment agreements or independent contractor agreements, advise you on how to comply with labor laws, review your contracts with vendors and take care of generating all franchising documents required by law if you decide to franchise your restaurant.

Business Law

With careful planning, advising, and drafting, I strive to procure to (1) minimize your risks and (2) prevent litigation. You should be able to run your business smoothly and maintain solid relationships. I’ll help you form new companies in the U.S. and off-shore, buy or sell businesses, admit new investors, protect your business ideas through trademarks, copyrights and licensing agreements, resolve disputes in which your company or you are implied and dissolve and liquidate your business. I can also assist you collecting the money you are owed by your debtors.

Contracts

Cover yourself—get it in writing! I draft, and help you negotiate contracts to ensure that you’re protected and that you’re getting good terms without killing the deal.

Solid and skillfully drafted contracts are the foundation of any transaction to achieve your goals and protect your interests. I also help you review your contracts so that you really know what you’re getting yourself into.

Trademarks

Before you invest your money, time and sweat into a business and its brand, its crucial to know that: (1) your mark is actually trademarkable, and (2) you’re not infringing on anyone’s trademark rights, otherwise, the consequences can be very costly and definitely not efficient to grow your business. I can help you register your trademark and police and enforce your trademark rights to make sure you’re brand value is being preserved.
